1. Acceptance of Terms
By accessing or using the Frameable website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services. These terms constitute a legally binding agreement between you and Frameable.
2. Eligibility
You must be at least 18 years old to use this service. By using Frameable, you represent and warrant that you have the right, authority, and capacity to enter into this agreement and to abide by all of the terms and conditions set forth herein.
3. User Accounts
You are responsible for maintaining the confidentiality of your account information and password. You agree to accept responsibility for all activities that occur under your account. Frameable reserves the right to refuse service, terminate accounts, or cancel orders in its sole discretion.
4. User Content and Ownership
Frameable is a technical service provider that processes images uploaded by users. You retain all ownership rights and intellectual property rights to any images, text, or other content you upload to Frameable ("User Content"). Frameable does not claim ownership of your User Content. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content.
5. User Representations and Warranties
By uploading User Content, you represent and warrant that: (i) you own the User Content or have obtained all necessary licenses, rights, consents, and permissions to use and authorize Frameable to use the User Content in the manner contemplated by the service; and (ii) your User Content does not infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right.
6. Limited License Granted to Frameable
Solely for the purpose of operating the service and fulfilling your orders, you grant Frameable a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, and display your User Content. This license is limited to the actions necessary to technically process your images (including resizing, upscaling, and formatting) and to manufacture and ship your physical products. This license terminates when you delete your content or your account, except as necessary to fulfill pending orders or comply with legal obligations.
7. Prohibited Content
You agree not to upload any content that is unlawful, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate. Frameable reserves the right, but has no obligation, to remove or refuse to process any content that we determine in our sole discretion violates these terms.
8. Copyright Infringement
Frameable respects the intellectual property rights of others. We do not permit copyright infringing activities on our platform. We will remove User Content if properly notified that such content infringes on another's intellectual property rights. Please refer to our Copyright & DMCA Policy for instructions on how to file a notice of infringement.
9. Orders, Processing, and Fulfillment
All products are custom made to order. By submitting an order, you confirm that you have reviewed your image and selection. Frameable uses automated technical processes to enhance and format images; however, the final quality depends heavily on the source file provided by you. We do not guarantee that the final product will match your on-screen display exactly due to variations in monitor calibration and printing materials.
10. Indemnification
You agree to defend, indemnify, and hold harmless Frameable, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the service; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of the service.
11. Disclaimer of Warranties
The service is provided on an "as is" and "as available" basis. Frameable expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. Frameable does not warrant that the results that may be obtained from the use of the service will be accurate or reliable.
12. Limitation of Liability
In no event shall Frameable, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service. In no event shall Frameable's aggregate liability for all claims related to the service exceed the greater of one hundred US dollars or the amounts paid by you to Frameable in the past six months.
13. Termination and Repeat Infringers
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Service. In appropriate circumstances, Frameable will terminate the accounts of users who are repeat infringers of intellectual property rights.
14. Governing Law and Venue
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Delaware for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction.
